Santander Bids for Full Control of Brazilian Subsidiary via Share Swap

A 15% premium marks the offer from Spanish banking giant Santander to acquire the remaining 10% stake in its Brazilian unit. The voluntary share swap, valued at 1.9 billion euros, follows a lackluster earnings report that saw the subsidiary’s quarterly profits miss market expectations due to rising loan provisions.

The parent group intends to issue approximately 156 million new shares if all minority holders tender their stakes, representing 1.1% of its current capital. Executives stated the move aims to bolster long-term earnings growth and organic capital generation, while maintaining a neutral impact on the bank's capital ratios. Unlike its 2023 delisting of the Mexican unit, this proposal does not seek to remove Santander Brasil from the stock exchange.

Market performance has pressured the Brazilian arm, as shares have dropped more than 21% year-to-date, trailing significantly behind the Bovespa benchmark index. The offer arrives immediately following a period of tightening lending spreads and increased bad loan provisions that weighed heavily on the subsidiary's recent performance. Santander has maintained a majority interest in the Brazilian business since 2014, when it previously explored full consolidation of the unit.
