Berlin signals engagement in Commerzbank takeover saga

German Finance Minister Lars Klingbeil has invited UniCredit CEO Andrea Orcel to a September 14 meeting in Berlin, marking the government's first direct shift toward dialogue regarding the Italian bank’s aggressive pursuit of Commerzbank after previously demanding the private entities resolve the matter independently.

The upcoming discussion at the finance ministry serves as a platform for Klingbeil to clarify the government’s stance on the lender's strategic importance. Officials intend to emphasize Commerzbank's role as a primary financier for the German economy and its foundational status in the Frankfurt financial hub. While the government maintains that the banks themselves remain responsible for the terms of any deal, this invitation signals a departure from the earlier insistence that Berlin would remain a bystander until the firms reached a consensus.

UniCredit’s position strengthened significantly in July when it disclosed a stake of up to 49.65%, a threshold effectively granting it control over shareholder resolutions. This development challenged the resistance from both Commerzbank management and the state, which continues to hold a 12% stake in the institution dating back to a crisis-era bailout. Despite calls from Commerzbank supervisory board chair Jens Weidmann to maintain state ownership, the government is now forced to contend with an investor that previously faced accusations of hostility from officials.
